8-K stands for Form 8-K (current report), a stock market & investing abbreviation.
SEC filing that US public companies must make, generally within four business days, to announce major events such as an acquisition, CEO departure, bankruptcy, auditor change, material agreement or earnings release. It keeps investors informed between quarterly reports.
Example: The company disclosed the CFO's resignation in an 8-K filed late Friday afternoon.
Usage notes
Events are reported under numbered items, such as Item 2.02 for results of operations and Item 5.02 for departures of officers and directors. Since 2023, material cybersecurity incidents must be reported under Item 1.05. Companies often furnish earnings press releases as 8-K exhibits.
